Is a minority stake worth its percentage of the whole company?
The percentage of total equity value is a useful starting calculation. The valuation of the actual shares depends on the rights attached to them, the valuation basis, the date and the purpose of the report. A minority discount is not automatic.
Practical example: If total equity value is £800,000, a 25% pro-rata calculation is £200,000. That calculation alone does not resolve voting rights, dividend rights or restrictions. Provide the share class, articles and relevant agreements for scoping.
Provide the number and class of shares, voting and distribution rights, the date and the reason for the valuation. Flag the articles and shareholder agreement so the relevant basis and restrictions can be considered.
Test the bridge from company value to stake value
Assess the underlying company value, then consider how the stake’s rights and the agreed basis affect the analysis. The starting percentage is useful arithmetic, but it does not settle the valuation.
Agree report users and scope
Explain who will use the report and whether there is a dispute or joint instruction. We can check scope and conflicts before requesting confidential documents.
