INDEPENDENT VALUATION SUPPORT

Management buyout valuations: a clear starting point for an MBO

Independent valuation support for a proposed management buyout. Define the business interest, examine earnings and separate value from the financing plan.

An MBO starts with two connected questions

A management buyout places the existing management team in the buyer role. The valuation question concerns the business interest being acquired; the funding question concerns how the proposed transaction could be paid for. An independent valuation brief helps keep those questions visible. We start by establishing the subject, relevant date, purpose and intended users, rather than assuming that the available borrowing determines the value.

Make the trading evidence consistent

The financial review should connect the accounts, current management information and any forecast used in the analysis. Explain proposed earnings adjustments and the resources the business needs after the handover. Where a founder currently performs important work, identify which duties management will absorb and which may require additional costs. Label forecast improvements as assumptions, with supporting evidence and a realistic timetable.

Compare price and structure separately

Cash at completion, deferred consideration and performance-dependent amounts should appear as separate components. A higher total spread over future payments may represent a different proposition from a smaller amount paid immediately. The valuation scope can be coordinated with a separate transaction cash model. Funding providers make their own decisions, and a valuation does not establish credit approval or the ability to meet repayments.

An illustrative handover question

A founder plans to leave, while the management forecast assumes the same revenue and lower salary costs. Before adopting that forecast, ask who will handle customer relationships, new sales and oversight. The answer may change the cost assumptions or expose a dependency. This is a preparation example, not a client case or a claim that a particular adjustment always applies.

Agree the assignment before commissioning it

Tell us whether the report is for seller planning, a buyer discussion or a specified third-party requirement. Clarify the proposed structure, other advisers involved and information available. We review suitability and agree the deliverables, fee, assumptions and permitted use before starting. Legal terms, tax treatment, funding arrangements and financial due diligence require their own appropriate advice or scope.

Your starting checklist

  • Proposed acquisition structure and shareholding details.
  • Accounts, current trading and documented earnings adjustments.
  • Founder handover assumptions and the proposed payment structure.

Questions before commissioning the work

Can a management buyout valuation guarantee funding?

No. Valuation and funding assessment are separate. Lenders and investors set their own requirements and make their own decisions.

Can you work alongside the transaction advisers?

The financial valuation work can be scoped around the appointed legal, tax and other advisers, with clear responsibilities and suitable information-sharing arrangements.
